陈: Regarding our financial position, credit standing and trade reputation, please refer to our bank or to our local chamber of commerce.

川: Thank you for your information.

陈: Now we are especially interested in your products.
目前我们对你方产品尤其感兴趣。
李: We are glad to hear that. May I know what items you are particularly interested in?

陈: Machine parts. Will you please quote us a price?
机器零件。你能开个价吗?
李: All right. Would you tell us the quantity you require so that we can work out the offers?

陈: I will do that. Meanwhile, could you give me an indication of price?

李: Here are our F.O.B. price lists(给出价目单). All the prices in the lists are subject to our confirmation.

陈:(看下价目单) I'm sorry to say that the price you quote is too high. It would
be very difficult for us to push any sales if we buy it at this price.
很遗憾的说,你方报价太高,如果按此价格,我们将不会达成任何交易。
李: well, if you take quality into consideration, you won't think our price is too high.
不错,但是你方把质量问题考虑在内的话,你就不会认为我们的报价偏高。
陈 : Let's meet each other half way. Could I have discount if my order is a large one?
那我们就各让一步吧。如果我们大量订购的话会有折扣吗?
李:of course !In view of the first time we cooperate, and for our long-term cooperation in future, I will give you a special discount.
当然,鉴于我们第一次合作,同时为了以后能长期合作,我方将给你方一个特殊的折扣。
陈:How much discount do you usually allow for an order exceeding 4000 units?
对于超过4000件的订单你们通常给多少折扣?
李:We usually allow 10% discount.
我们通常会给10%的折扣。
陈:But 10% discount is not enough for such a big order.
但是对于这么大的订单10%的折扣是不够的。
李:The maximum discount we can give is 10%
我们最多只能给10%的折扣了
陈:We usually get a 20% discount from the European exporters.
我们通常可以从欧洲出口商那里得到20%的折扣
李:I’m afraid I could not agree with you for such a big discount.In this way ,it won’t leave us anything.
恐怕我不能同意给你这么大的折扣,否则我方就无利可图了
陈:Would you agree to make us a concession by allowing a discount for 15% ?
你们是否同意作出让步,给我们15%的折扣?
李:All right . I agree to give you 15% discount .

陈:I’m very glad that we have finally come to an agreement.

陈:Shall we discuss the question now?
我们现在讨论一下检验的条款
川:OK。Inspection is really an important part of the contract.
好。检验的确是合同的一个重要部分。
陈:Yes. First we should define the inspection right , I think.
是的。首先让我们明确一下检验的权利。
川:Following the rules of world business, the exporters have the right to inspect the goods before the delivery while the importers have the right to reinspect the goods after their arrival.
根据国际贸易的规则,对于出口商品,出口商在向船运公司托运之前,有权进行检验。对于进口商品,进口商有权复检。
陈:The exporters bear the inspection fee and the importers bear the
reinspection fee.Is it right?
出口商支付初验费和进口商支付复验费,对吧。
川:Generally speaking ,It goes like this.
一般来说是这样的。
陈:In your country ,which organization is in charge of the inspection?
合同经双方签字后,就成为约束双方行为的法律性文件,有关各项条款,合同双方都必须遵守和执行。
川: Here is our draft contract. If there is no any question,we make the deal.
这是我们的合同草案。如果没有任何问题的话,我们就达成这笔交易。
陈: I have made a very close study of the draft contract.
我仔细审阅了合同草案。
川: Any questions?
有什么问题吗?
陈: Yes. There are a few points which I'd like to bring up. First, the packing
it's stipulated in the contract that all the machine parts should be packed in wooden cases. This can be done with the machine parts, but it's impossible to pack a truck base like that.
有,有几点我想提一下。首先,是包装。合同规定机器零件用木箱包装。机器零件可以,而汽车底座用木箱包装则是行不通的。
李: I see. 我明白了。
陈: Second, about the terms of payment. Your draft contract says that payment is to be made by D/P. This is not our practice. We prefer to have the payment made by L/C through a negotiating bank in France.
第二点是付款的有关条款。你们的合同草案规定付款方式为付款交单。我们不这么做。我们希望经法国的一家议付银行用信用证付款。
川: And something else.
那还有其他问题吗?
陈: And the third point is about arbitration. It's stipulated that arbitration shall take place in China. In terms of all our usual practice, it was stipulated that arbitration took place in a third country.
第三点有关仲裁。合同规定仲裁应在中国进行,在我们过去签订的所有合同中都规定仲裁在第三国进行。
川: Yes, that's right. 对,是这样。
陈: But how is it that you wish to have it carried out in China?
那么,为什么你们希望仲裁在中国进行?
川: Shall we take up the matter point by point?

陈: That's a good idea.

川: Now, the first point is about packing. We agree to a different packing for the truck.
首先,第一点,有关包装,我们同意汽车底座换用不同的包装。
陈: This can easily be done.
这很容易做到。
川: Second, we agree to pay by L/C.
第二,我们同意用信用证付款。
陈: Thank you. 谢谢!
川: As for arbitration, in our dealings with many countries, arbitration is to be carried out in China. The Arbitration Commission of CCPIT enjoys a high prestige among friendly companies. Personally I hope you'll accept this clause. Further more, the disputes that have arisen from our business transaction were all settled through friendly consultations. Very rarely was arbitration restored to.
至于仲裁,在我们和许多国家的交往中,仲裁都在中国进行。中国贸促会的仲裁委员会在各友好公司中享有崇高的声誉。从我个人来讲,我希望你们接受这一条款。此外,我们生意中出现的争端均通过友好协商解决了,很少进行仲裁。
陈: I see. OK. The new arbitration clause is acceptable. Is there anything else?
我明白了,新的仲裁条款可以接受,还有别的吗?
川: As far as the contract stipulations are concerned, there is nothing more. Thank you very much.
至于合同方面的规定,没别的了。非常感谢。
陈: When should we sign the contract?
我们什么时候签合同?
川: We'll revise the contract this evening, and have it ready to be signed
tomorrow morning at ten. How's that?
今晚我们修改一下合同,准备明天早上10点签约,怎么样?
